General terms and conditions of sale of L’Echangeur by BNP Paribas Personal Finance

ARTICLE 1 | L’ECHANGEUR

L’ECHANGEUR by BNP Paribas Personal Finance is a trademark of the BNP Paribas Personal Finance Group, a limited company under French law (Société Anonyme) with a share capital of €529,548,810 whose registered office is located 1 bld Haussmann, 75009 PARIS. This company is registered in Paris under number RCS PARIS 542 097 902, SIRET number 542 097 902 04319 and APE code 6419Z. L’ECHANGEUR by BNP Paribas Personal Finance is an independent business intelligence platform for monitoring new technologies and their uses. L’ECHANGEUR by BNP Paribas Personal Finance also studies customer behaviours and journeys and sells articles, products and services related to the dissemination of its expertise and know-how, including: the organisation and facilitation of seminars and talks by our experts, trend analyses, the sale of analysis reports, the organisation of guided tours of our facilities, temporary relocations of our showroom, project support and more generally all kinds of existing and future products and services to help businesses adjust to new technologies and their uses, and to new customer behaviours and journeys in the Retail world.

The L’ECHANGEUR by BNP Paribas Personal Finance showroom is located at 141-143, rue Anatole France – 92300 Levallois Perret, France. L’ECHANGEUR by BNP Paribas Personal Finance also has an office near Bordeaux at 106-108 Avenue JF Kennedy, 33696 MERIGNAC Cedex, France.

 

ARTICLE 2 | SCOPE OF THE GENERAL TERMS AND CONDITIONS OF SALE

The purpose of the general terms and conditions of sale detailed hereafter in accordance with Article L441-6 of France’s Commercial Code (code de commerce) is to specify the extent of the rights and obligations of each of the parties.

These general terms and conditions of sale are agreed between BNP Paribas Personal Finance and each Customer who places an order with L’ECHANGEUR, hereinafter referred to together as “the parties”.

Contract information is presented in French.

These general terms and conditions of sale apply to all orders placed directly with L’ECHANGEUR by BNP Paribas Personal Finance, by telephone, by mail, by email or via the website www.echangeur.fr.

These terms and conditions shall apply to the exclusion of all other terms and conditions, agreements, arrangements or previous contract, whether written or unwritten, entered into between the parties and referring to the same subject.

By placing an order with L’ECHANGEUR by BNP Paribas Personal Finance, the Customer acknowledges that he/she has read and understood these general terms and conditions of sale, and accepts them fully and wholly.

In the event of any contradiction between the terms shown on the quotation signed by the Customer and these general terms and conditions of sale, the terms shown on the quotation shall apply. Likewise, in the event that specific contract provisions are agreed that differ from these general terms and conditions of sale, the specific contract provisions shall prevail.

L’ECHANGEUR by BNP Paribas Personal Finance reserves the right to adjust or change these general terms and conditions of sale at any time. In such an event, only the general terms and conditions of sale in effect at the time an order is placed shall apply to that order.

L’ECHANGEUR by BNP Paribas Personal Finance recommends that Customers save and/or print off and retain a copy of these general terms and conditions of sale for safekeeping in their records so that where relevant and if necessary, they can refer to them at any time during performance of the agreement.

Throughout these terms and agreements, “Customer” shall mean the party with which the purchase-sale relationship is established and to whom the relevant invoice shall be issued.

 

ARTICLE 3 | ORDER – REGISTRATION – SUBSCRIPTION

A registration or subscription form shall be completed for each purchase and act as the order form.

Your registration or subscription form must be sent to us approved and signed by you, and for the order to be confirmed, must give the names of all participants and the invoicing address.

Each shipment will be made in accordance with the terms ticked on the order form.

Prior to placing an order, the Customer declares that the products or services purchased from L’ECHANGEUR by BNP Paribas Personal Finance are solely for personal use in connection with his/her professional activity and that any information gathered will not be disseminated by him/her, even in an amended form, and will not be presented or used for commercial purposes.

For invoicing purposes, an exact quotation or an order form will be issued for each service provision.

The quotation or order form together with these general terms and conditions of sale constitutes a proposed contract. The Customer expressly declares that he/she has the necessary power, authority or capacity to enter into said proposed contract and to fulfil the obligations incumbent upon him/her thereunder. The proposed contract is valid from one month as from its date of issue.

The contract is formed and the two parties committed as soon as BNP Paribas Personal Finance receives the quotation or order form duly dated and signed by the Customer.

L’ECHANGEUR by BNP Paribas Personal Finance draws the Customer’s attention to the acknowledgement and acceptance of the general terms and conditions of sale. Confirming the quotation or signed order form by email in PDF format is considered as “electronically signing” the quotation or order form and is equivalent to signing by hand. These constitute full and irrevocable acceptance of the order by the Customer. Unless proved otherwise, the emails recorded by L’ECHANGEUR by BNP Paribas Personal Finance are evidence of all transactions between the company and its Customers.

Contract information concerning the service provision will be confirmed by e-mail to the Customer as soon as possible with a numbered quotation in PDF format summarising the whole of the service provision. L’ECHANGEUR by BNP Paribas Personal Finance recommends that the Customer print off and/or save a copy of this quotation on a reliable and durable medium for his/her records.

Unless otherwise expressly requested, an invoice acting as proof of purchase will be sent to the Customer in PDF format. L’ECHANGEUR by BNP Paribas Personal Finance recommends that the Customer print off and/or file a copy of this invoice on a reliable and durable medium as proof for his/her records.

The Customer is responsible for the information provided when placing his/her order (including delivery name and address and invoicing name and address). L’ECHANGEUR by BNP Paribas Personal Finance shall not in any way be held liable in the event that an error made when placing the order prevents or delays delivery of a product or service performance.

L’ECHANGEUR by BNP Paribas Personal Finance reserves the right to refuse any order that it suspects to be fraudulent, and any order by a Customer with whom there is or might be a dispute relating to payment for a previous order placed with L’ECHANGEUR by BNP Paribas Personal Finance, and by extension with any other company in the BNP Paribas Personal Finance Group.

 

ARTICLE 4 | DELIVERY – SERVICE PERFORMANCE

Products and services are delivered to or performed at the address given when placing the order.

Various expenses (shipping, transport, accommodation, catering, etc.) may be invoiced. Their amounts will be indicated to the Customer at the time of the order and in any event, prior to confirmation of the order by the Customer.

L’ECHANGEUR by BNP Paribas Personal Finance shall not be liable for any consequences due to a late delivery. In the event of late dispatch, the order will not be cancelled.

If it is impossible to deliver a product or perform a service, the Customer may ask L’ECHANGEUR by BNP Paribas Personal Finance for a credit note to be used against a future service.

 

ARTICLE 5 | COMPLIANCE

Provisions specific to deliverable products:

The Customer must inspect the condition of the packaging and products at the time of goods delivery or collection before signing any delivery documents.

If the parcel shows obvious signs of damage upon delivery, the Customer must refuse the delivery and not sign without expressing reservations on the delivery document. This inspection is deemed to have been performed if the Customer, or any other person authorised to receive the parcel on behalf of the Customer, has signed the delivery document or confirmed the email read receipt.

The Customer must let the L’ECHANGEUR by BNP Paribas Personal Finance Sales Department know of any complaints concerning delivery errors and/or product non-compliance with the information on the order form (wrong products, substandard quality) on the day of delivery or receipt or at the very latest on the first working day after delivery or receipt.

The Sales Department shall endeavour to respond to any such complaints as soon as they are received.

L’ECHANGEUR by BNP Paribas Personal Finance shall provide a refund, replacement item or credit note to be used against a future purchase if any product or service is not as ordered by the Customer.

The Customer must send his/her complaint in writing (by email to contact@echangeur.fr or by recorded delivery post to the following address: ECHANGEUR by BNP Paribas Personal Finance, Service Customer, 18, rue de Londres, 75009 PARIS) within 15 days of the delivery, receipt or collection of the product(s) or service(s). When making a complaint about the non-compliance of a product or service with the order placed, the Customer must specify whether he/she would like a refund, replacement item or credit note to be used against a future purchase.

Any complaint not made in accordance with the above rules or within the set time limits will not be considered and L’ECHANGEUR by BNP Paribas Personal Finance will be released from all liability to the Customer.

 

ARTICLE 6 | – CANCELLATION IN WHOLE OR IN PART

In the event of withdrawal or cancellation in whole or in part by the Customer for any reason other than as a result of a force majeure event, BNP Paribas Personal Finance shall immediately be released from all of its obligations to the Customer, who shall not be entitled to ask for the event to be postponed to another date or to claim a refund of any sums already paid. Any such sums shall be retained as of right by BNP Paribas Personal Finance as compensation for contract termination.

In the event that the contract is terminated by the Customer before the day on which the service is to be performed or event held (cancellation in full), the Customer formally agrees to settle and pay the amounts as scheduled below:

Regarding Events, Seminars, Keynote Speaker Talks, Workshops, Marketing Studies and Temporary Showrooms:

– if the contract is terminated between the 30th day at least and the 22nd day before the date of the event, BNP Paribas Personal Finance shall proceed with a full refund of the payment made.

– if the contract is terminated between the 21st day and the 11th day before the start of the event, the Customer shall settle 50% of the total amount payable.

– if the contract is terminated in the 10 days preceding the event, the Customer shall pay 100% of the total amount payable

The time limits are expressed in terms of working days and run backwards as from the date of the event or delivery.

Each registered individual may be replaced by another person subject to the name of the latter being provided within the set time limits.

To ensure timetables are managed effectively, the Customer must inform L’ECHANGEUR verbally by telephone of his/her cancellation request as soon as the occurrence generating that request comes to his/her attention, and then confirm that decision in writing by email or post.

Regarding the purchase of Decoding Reports: Full payment must be made at the time of order. Once the order form has been received, the order may not be cancelled or withdrawn.

Should the copy you receive be faulty, a new document will be sent to you in exchange for the defective copy.

Items that are returned incomplete, used, damaged or soiled by the Customer will be refused.

The right of return applies without penalty. However, return postage is payable by the Customer.

Regarding subscriptions to the CLUB DE L’ECHANGEUR and ACCESS PANEL Observatories and to the associated Studies: Full payment must be made at the time of order. Once the access codes have been sent, the order may not be cancelled or withdrawn.

All refunds will be made by European bank transfer only and will require the Customer to send his/her bank details, including IBAN, to BNP Paribas Personal Finance’s Customer Services Department.

All refunds will be made within 90 working days, depending on the date on which cancellation is confirmed.

In the event of withdrawal or cancellation in whole or in part by the Customer for any reason other than as a result of a force majeure event, the initial terms and conditions of the quotation continue to apply. This includes full invoicing of the service that the Customer wishes to cancel.

 

ARTICLE 7 | AVAILABILITY

L’ECHANGEUR by BNP Paribas Personal Finance shall take all necessary steps to ensure that the products and services that it offers are available.

Product and service offers and prices shall be valid if they are sent to Customers by quotation or are visible on the website or in sales documents communicated after updating, subject to stock availability to fulfil orders.

If a product or service becomes unavailable after an order has been placed, L’ECHANGEUR by BNP Paribas Personal Finance will inform the Customer of the estimated time until the product or service will be made available again. In the event of a delivery deadline or partial or total unavailability, any Customer who does not wish to wait for the product or service to be made available may receive a refund equivalent to the price of that product or service, or a credit note to be used against a future order for a product or service.

 

ARTICLE 8 | PRICES

The prices of products and services available for direct sale by telephone, by email and on the website www.echangeur.fr are expressed in euros and exclusive of taxes, except for those of study trips, which are expressed in euros and are inclusive of all taxes. Contributions to expenses (transport, moving of equipment, accommodation, catering, insurance, etc.) and additional costs (meeting room hire, video projector rental, coffee breaks, meal trays, etc.). may be applied to these prices. Such costs shall be assessed with the Customer.

L’ECHANGEUR by BNP Paribas Personal Finance is free to set the prices of its products and services, which it bases on certain criteria. It reserves the right to change its criteria and prices at any time. L’ECHANGEUR by BNP Paribas Personal Finance undertakes to apply the prices in effect at the time an order is registered subject to current availability on that date of the products and services concerned. All orders shall be based on an order or subscription form duly completed as required or by a clearly drawn up quotation. Prices may vary depending on each Customer’s specific requests and criteria.

Prices are guaranteed throughout the period during which the quotation is valid, in accordance with Article 3 hereunder.

 

ARTICLE 9 | DISCOUNTS – REDUCTIONS

Companies that take out a subscription to L’ECHANGEUR by BNP Paribas Personal Finance’s Club de L’ECHANGEUR, the Observatory of new technologies may benefit from a discount. Information about this will be provided at the time of their subscription if relevant. This discount is applicable to the total price in euros exclusive of tax, with the exception of study tours (Retail’s Big Show NRF, Store Tours, etc.) which are offered at cost price in association with a travel services provider.

No discount will be granted for early payment.

The prices given on quotations and order forms include any discounts and rebates that BNP Paribas Personal Finance might grant.

 

ARTICLE 10 | PAYMENT TERMS – INVOICING

Unless otherwise expressly requested, an invoice acting as proof of purchase will be drawn up on the basis of the information provided in the order form and sent to the Customer in PDF format. L’ECHANGEUR by BNP Paribas Personal Finance recommends that the Customer print off and/or file a copy of this invoice on a reliable and durable medium as proof for his/her records.

All products and services must be paid for in full upon receipt of invoice. To reserve a product or service, the Customer may be asked to pay a deposit as a guarantee when confirming the relevant quotation.

L’ECHANGEUR by BNP Paribas Personal Finance shall retain ownership of all products and services until such time as payment of the price indicated on the invoice has been received in full and cleared.

The Customer may pay for his/her order in one of two ways:

The following details for the product or service purchased must be quoted on all cheques and transfers:

The sale will only be considered as completed once L’ECHANGEUR by BNP Paribas Personal Finance has signed off the quotation and invoicing in light of its risk acceptance criteria and the amounts in question have been recorded in BNP Paribas Personal Finance’s bank accounts.

If any payment is rejected, the order will automatically be refused and the Customer notified thereof by email. L’ECHANGEUR by BNP Paribas Personal Finance reserves the right to suspend all handling of orders and deliveries if authorisation for payment by cheque or by transfer is refused by officially accredited organisations, or in the event of non-payment.

L’ECHANGEUR by BNP Paribas Personal Finance also reserves the right to refuse to make delivery to or honour any order placed by any Customer who has not made full or partial payment for a previous order or with whom it has an outstanding dispute relating to payment.

 

ARTICLE 11 | CHECKS

L’ECHANGEUR by BNP Paribas Personal Finance checks the creditworthiness of all companies with whom it enters into agreements. The aim of these checks is to protect BNP Paribas Personal Finance, and by extension, companies in the BNP Personal Finance Group, from deceptive practices operated by fraudsters.

BNP Paribas Personal Finance reserves the right to contact the individuals named on order forms (originator at the delivery address and accounts department at the invoicing address).

As part of these procedures, BNP Paribas Personal Finance or any person duly appointed by it, reserves the right to ask the Customer for any documents and information needed to ensure proper delivery of the order and invoicing (documents pertaining to the company, bank details, SIRET business number, business registration document (Extrait K-bis)). Such requests will be made by email and/or by post.

The time taken to send the required documents and information to the Financial Department may put back the dispatch, delivery or provision of the goods or services ordered by an equivalent amount of time.

 

ARTICLE 12 | PAYMENT TIMES – LATE PAYMENT– PENALTIES

All payments are to be made on receipt of invoice, unless otherwise stipulated in the special terms and conditions.

If any amount of an invoice is disputed, the Customer shall inform BNP Paribas Personal Finance of the grounds for such dispute within five working days by recorded delivery letter and shall make prompt payment of the undisputed amount. If no such claim in writing is made, BNP Paribas Personal Finance may charge the Customer penalties for late payment on the amounts outstanding in accordance with the provisions hereafter.

Penalties for late payment will be applied as of right, that is to say automatically, without any official notice required, from the first day after the payment date shown on the invoice, or by default on the 31st day following the date of receipt of the goods or performance of the service requested. The interest rate of the penalties for late payment cannot be less than three times the legal interest rate set by the European Central Bank.

In addition, non-payment may entitle BNP Paribas Personal Finance to compensation.

Late payment interest is calculated on the amount outstanding exclusive of taxes.

Once the payment due date has passed, the account will be transferred to the collection department. All late payments will automatically give rise to a fixed charge of €40 to cover recovery costs. If the costs to which BNP Paribas Personal Finance is exposed in recovering outstanding receivables are higher than the amount of this fixed charge, BNP Paribas Personal Finance may ask for additional compensation to be paid by the Customer on production of evidence, in accordance with Article L. 441-6, paragraph 12 of France’s Commercial Code (Code de commerce).

 

ARTICLE 13 | INTELLECTUAL PROPERTY – COPYRIGHT

The website www.echangeur.fr and all of its contents are protected by European copyright laws, including those of Switzerland, Belgium and France, and may not be reproduced, distributed, transferred, presented, published or disseminated without BNP Paribas Personal Finance’s prior written consent.

The contents of the website www.echangeur.fr, and of the publications and articles produced by L’ECHANGEUR by BNP Paribas Personal Finance and its experts are reserved for strictly personal and non-commercial use only.

All copyright and intellectual property rights in the texts, comments, works, illustrations, images and photographs, trademarks and databases reproduced and included in the website www.echangeur.fr or in written or virtual documents are protected worldwide.

As such, and in accordance with the provisions of France’s intellectual property legislation (Code de la propriété intellectuelle), reproduction of all or part of the photos or written content presented on the website www.echangeur.fr or in written or virtual documents or any other modern medium, is strictly prohibited.

More generally and by extension, all compiled documents (special TRENDS reports, analysis reports, technical documents, video interviews, etc.), all articles, editorial content and decoding, and all seminar presentation and facilitation documents in PDF or PowerPoint format produced by L’ECHANGEUR by BNP Paribas Personal Finance’s specialists appearing on the website www.echangeur.fr or published on any physical, virtual or other modern medium, are and remain the exclusive property of BNP Paribas Personal Finance. Reproduction by means of any physical or digital medium of all or part of the written reports, trend reports, decoding documents and other materials already produced by L’ECHANGEUR by BNP Paribas Personal Finance or produced by it in the future, is strictly prohibited unless expressly agreed to by the rights holders and BNP Paribas Personal Finance. As a reminder, all rights holders are entitled to receive royalties if photocopies are made of their works. Failure to comply with this prohibition would constitute copyright infringement and may give rise to civil or criminal liability action against the party responsible for the infringement.

 

ARTICLE 14 | AGREEMENT BY THE PARTIES

Generally, the parties agree to work actively together to ensure that the contract is fulfilled. Each party agrees to disclose all relevant information and to inform the other party of any difficulties as they arise and as soon as they come to its attention, so that the other party can take the necessary steps.

 

ARTICLE 15| DISCLAIMER

The photographs depicting products and services on the website or on sales documents are not binding. The Customer is invited to learn more about the current technical features of the products and services by contacting the sales department before proceeding with an order.

BNP Paribas Personal Finance shall not be liable in the event of obvious differences between the features of the product or service, the illustration thereof and its terms and conditions of sale.

If any hypertext links towards other information and partner sites appear on the website, BNP Paribas Personal Finance will not be liable in any way should the content of such linked websites be in breach of current laws and/or regulations.

Partial or total impossibility to use a product or service because of material incompatibility will not give rise to any kind of compensation, refund or claim against BNP Paribas Personal Finance. In such an event, the parties will seek an amicable solution.

All orders placed with L’ECHANGEUR by BNP Paribas Personal Finance are made on an exclusively professional basis.

The liability of each party is limited to the commitments made by it under the terms of the contract; consequently, BNP Paribas Personal Finance may not be held liable for any direct or indirect losses that may result from the work of one or more service providers outside the contract.

Neither party shall be held liable for any failure or delay in the performance of any of its obligations described in these general terms and conditions of sale if such failure or delay results from the occurrence of an unforeseeable or force majeure event as defined by case law. The party wishing to cite a force majeure event must promptly notify the other party of the start and end of said event, otherwise it may not be relieved of liability.

BNP Paribas Personal Finance disclaims all liability and responsibility in respect to the occurrence of the following:

  • Theft, loss of monies or valuables belonging to the Customer or participants occurring during an event covered by the contract;
  • Injury or damage to property suffered by the Customer or participants during the performance of work by any service provider(s) under the contract;
  • Direct or indirect damage or loss of any kind that might affect the items or equipment set down by the Customer or participants occurring during the event covered by the contract;
  • Direct or indirect damage or loss of any kind that the Customer or participants might cause to any service provider(s) or their agents working under the contract;
  • Damage caused by the Customer or participants to the materials, equipment and/or premises of any service provider(s) working under the contract. Any repairs and settlements that prove necessary further to the aforementioned damage shall be the responsibility of the Customer, who shall pay the cost of restoring all items to their prior condition.

 

ARTICLE 16 | CONFIDENTIALITY

The Customer shall keep secret and confidential all confidential information and documents provided by BNP Paribas Personal Finance to which it has access within the context of contract performance. The Customer shall also ensure by every means necessary that said documents and information are not reproduced or used for commercial purposes.

This confidentiality undertaking shall remain in effect throughout the duration hereof and for five (5) years as from their expiry;

 

ARTICLE 17 | SPECIAL TERMS AND CONDITIONS

Special terms and conditions may be agreed between the Customer and L’ECHANGEUR by BNP Paribas Personal Finance for specific and one-off requests. A contract stipulating such special clauses and terms will be communicated to each of the parties to the contract.

 

ARTICLE 18 | CUSTOMER SERVICE DEPARTMENT

L’ECHANGEUR by BNP Paribas Personal Finance’s Customer Service Department is available to answer questions, provide information and handle complaints. Customers can contact the department:

ARTICLE 19 | GOVERNING LAW AND DISPUTES

These general terms and conditions of sale are under and subject to the laws of France. In the event of a dispute or complaint, the Customer is advised to contact L’ECHANGEUR by BNP Paribas Personal Finance’s Customer Service Department so that an amiable solution to the problem may be sought. If no amiable agreement can be reached between the parties, the Customer acknowledges the jurisdiction of the courts of the Paris Court of Appeal in all matters concerning commercial transactions with L’ECHANGEUR by BNP Paribas Personal Finance and any claim arising from or in connection with them

 

ARTICLE 20 | PERSONAL INFORMATION

All information collected by BNP Paribas Personal Finance from the customer is processed electronically for the purposes of order processing. It may be used for commercial, marketing and promotional purposes in connection with the activities of L’ECHANGEUR by BNP Paribas Personal Finance only, and may in certain cases be passed on to other entities in the BNP Paribas Personal Finance Group, to certain partners in the event of cross-business operations, and to any administrative or legal authority that requests its disclosure.

 

In addition to each individual’s right as set out in France’s Act 78-17 of 6 January 1978 on Information Technology, Data Files and Civil Liberties, to access, rectify and block personal data relating to them, any Customer may at any time access the personal information relating to them held by BNP Paribas Personal Finance, ask for it to be changed, or ask for it to be deleted by sending a request to this effect in writing by email to info@echangeur.fr or by post to: ECHANGEUR by BNP Paribas Personal Finance – Service Client – 141-143, rue Anatole France – 92300 Levallois Perret – France. This means that the Customer has an irrevocable right to ask BNP Paribas Personal Finance to rectify, complete, clarify, update or delete any of his/her personal data that are inaccurate, incomplete, equivocal, expired or whose collection, usage, disclosure or retention is prohibited.

In accordance with the said Act, personal data files and processing are the subject of a report filed with the Commission Nationale Informatique et Libertés (France’s data protection authority) under number 1350213. So that it can learn more about the Customer and thereby send him/her information that is tailored to his needs, L’ECHANGEUR by BNP Paribas Personal Finance may collect personal data through the use of cookies. The Customer can prevent this by disabling the cookies function, as explained on the website www.echangeur.fr

 

ARTICLE 21 | INSURANCE

The Customer must take out and maintain throughout the term of the contract an insurance policy with a well known insurance company covering his/her civil and business liability in the context of contract performance, it being understood that the Customer alone is liable for the risks, disputes and any consequences that may arise out of or in connection with his/her business activity.

 

ARTICLE 22 | ASSIGNMENT – TRANSFER

The contract is personal to the Customer. The contract and all rights and obligations arising from it may not be assigned or transferred in whole or in part by the Customer to any third party without BNP Paribas Personal Finance’s express prior consent.
